Venue Listing & Content Authorization Terms
These Venue Listing & Content Authorization Terms govern venue claims, venue listing requests, listing updates, photographs, videos, logos, event information, promotional materials, and other content submitted to OUT Local™.
These terms form an agreement between Austin Randall, doing business as OUT Local™ (“OUT Local,” “OUT,” “we,” “us,” or “our”), and the individual or organization submitting information or content on behalf of a venue (“you,” “your,” or the “Submitting Representative”).
By submitting a venue claim, requesting a venue listing, providing content, or selecting the checkbox indicating your agreement, you confirm that you have read and agree to these terms.
1. Your Authority
You represent and confirm that you are at least 18 years old and that you are:
The owner of the venue;
An employee, manager, marketing representative, agent, or contractor authorized to act for the venue; or
Another person who has received permission from the venue’s authorized owner or representative to make the submission.
You may not claim, manage, or submit information on behalf of a venue without authorization.
OUT Local may request reasonable documentation or additional information to confirm your identity, role, or authority.
2. Venue Information Covered
These terms apply to information and materials you submit, upload, send, approve, or authorize for use in connection with the venue, including:
The venue’s legal name, trade name, and public-facing name;
Logos, trademarks, service marks, slogans, and branding;
Address, neighborhood, telephone number, email address, and website;
Social-media usernames and links;
Hours of operation;
Venue descriptions and accessibility information;
Venue categories, amenities, services, and audience information;
Age restrictions, dress codes, entry policies, and house rules;
Ticketing, reservation, booking, and contact links;
Photographs and videos of the venue;
Event names, descriptions, dates, times, prices, and schedules;
Event flyers, posters, graphics, and other promotional materials;
Performer names, stage names, biographies, images, and appearance information;
Employee, owner, representative, or spokesperson names and likenesses;
Corrections and updates to existing information; and
Other information or materials provided in connection with the venue.
Collectively, these materials are referred to as the “Submitted Content.”
3. Permission to Create and Display the Venue Listing
You authorize OUT Local to create, maintain, publish, display, organize, and promote a listing for the venue through the OUT Local website, mobile application, social-media accounts, emails, presentations, advertisements, launch materials, and related services.
The listing may include information submitted by you as well as information obtained from lawful public sources, including the venue’s public website, event calendar, public social-media accounts, public business listings, and authorized ticketing pages.
You authorize OUT Local to associate the venue with relevant categories, events, performers, neighborhoods, maps, recommendations, searches, and discovery features.
4. License to Submitted Content
You retain any ownership rights that you or the venue hold in the Submitted Content.
You grant OUT Local a non-exclusive, worldwide, royalty-free license to:
Host and store the Submitted Content;
Reproduce and display it;
Publish and distribute it;
Resize, crop, compress, format, or convert it;
Edit written content for spelling, grammar, clarity, length, style, and formatting;
Create thumbnails, previews, excerpts, and promotional layouts;
Include it in venue listings, event listings, performer listings, maps, recommendations, emails, presentations, advertisements, and social-media content;
Use it to promote the venue, relevant events, and OUT Local; and
Permit OUT Local’s contractors, hosting providers, app providers, designers, marketing vendors, and other service providers to process the content as necessary to provide these services.
This license is limited to operating, developing, maintaining, publicizing, and promoting OUT Local and the listings, venues, events, performers, and community resources featured through it.
Submitting content does not transfer ownership of the content to OUT Local.
5. Venue Name, Logo, and Branding
You authorize OUT Local to use the venue’s name, trade name, logo, branding, and public-facing identity to identify and promote the venue and its events within the Service and related promotional materials.
OUT Local will not acquire ownership of the venue’s trademarks or branding through this authorization.
OUT Local may resize or reposition a logo to fit a listing or promotional layout but will not intentionally make a material alteration that misrepresents the venue’s brand.
Nothing in these terms grants OUT Local permission to register the venue’s name, logo, or trademarks as OUT Local’s property.
6. Photographs and Videos
You authorize OUT Local to use photographs and videos submitted or approved by you for:
Venue profiles;
Event listings;
Performer and appearance listings;
Search results and recommendations;
Website and app previews;
Social-media posts;
Emails and newsletters;
Partner presentations;
Launch campaigns;
Advertising and promotional materials; and
Other materials reasonably related to OUT Local.
OUT Local may crop, resize, compress, caption, format, or otherwise make reasonable technical or editorial adjustments to submitted visual materials.
OUT Local will not intentionally edit an image in a way that materially misrepresents the venue, event, performer, or people depicted.
7. Photographer and Creator Permissions
You confirm that the venue owns the Submitted Content or has permission from the applicable owner to provide it to OUT Local under these terms.
This may include permission from:
Photographers;
Videographers;
Graphic designers;
Illustrators;
Marketing agencies;
Event producers;
Promoters;
Performers;
Models;
Copyright owners;
Trademark owners; and
Other creators or rights holders.
Payment for a photograph, possession of a photograph, or publication of a photograph on the venue’s social-media account does not necessarily establish that the venue owns every right in that photograph. The venue must have sufficient permission for the uses authorized under these terms. Copyright law gives the copyright owner the ability to authorize reproduction, adaptation, distribution, and public display of the work.
Do not submit materials when you are uncertain whether the venue has permission to provide them.
8. Performer Names, Images, and Likenesses
You may submit performer information only when the venue is authorized to publicize the performer’s scheduled appearance or otherwise has permission to provide that information.
You confirm that you have any permission reasonably necessary to submit and authorize OUT Local’s use of:
Performer names and stage names;
Performer photographs and videos;
Performer biographies;
Promotional artwork;
Appearance dates and schedules;
Quotes or endorsements;
Voice recordings; and
Other materials identifying or depicting a performer.
A venue’s authorization under these terms does not automatically establish that the venue owns a performer’s photograph, name, likeness, biography, logo, or other intellectual property.
When a performer, photographer, agent, promoter, or other rights holder objects to submitted material, OUT Local may remove or restrict the material while the issue is reviewed.
9. Guests, Employees, and Other Identifiable Individuals
You confirm that the venue has obtained any permissions reasonably necessary to provide photographs or videos featuring identifiable employees, guests, contractors, performers, or other individuals.
Do not submit:
Nonconsensual intimate imagery;
Images taken in areas where people reasonably expect privacy;
Images intended to shame, expose, or endanger someone;
Images of minors in inappropriate or sensitive contexts;
Images that reveal private or sensitive information without authorization; or
Content that violates OUT Local’s Community Guidelines.
OUT Local may reject or remove visual content when we believe that its use presents a privacy, consent, intellectual-property, or safety concern.
10. Event Information
You confirm that event information submitted on behalf of the venue is accurate to the best of your knowledge.
This includes:
Event title;
Date and time;
Location;
Admission price;
Ticket or reservation link;
Age restriction;
Accessibility information;
Performer lineup;
Dress code;
Cancellation or refund information; and
Event artwork and description.
You agree to notify OUT Local within a reasonable period if an event is canceled, postponed, relocated, rescheduled, sold out, or materially changed.
OUT Local may obtain or confirm event details through the venue’s public calendar, public social-media account, ticketing provider, event organizer, or other lawful public source.
11. Accuracy and Updates
You confirm that the information you submit is accurate, current, and not misleading to the best of your knowledge.
You agree not to knowingly submit:
A false venue address or contact method;
Misleading hours or policies;
Events that do not exist;
Performers who are not scheduled to appear;
Fake ticketing or payment links;
False claims of affiliation or sponsorship;
Misleading accessibility information; or
Content intended to impersonate or harm another person or organization.
You agree to make reasonable efforts to notify OUT Local when material venue information changes.
12. Editing and Formatting
OUT Local may edit submitted written content for:
Grammar and spelling;
Clarity;
Length;
Formatting;
Consistency;
Search and categorization;
Accessibility;
Removal of duplicative information; and
Compliance with our policies.
OUT Local may create a description based on information supplied by the venue or from lawful public sources.
OUT Local will not knowingly make a material factual change that misrepresents the venue.
You may request a correction by contacting hello@outlocal.com.
13. Publication Is Not Guaranteed
Submitting or claiming a venue does not guarantee:
Approval or verification;
Publication;
Continued publication;
Featured placement;
Priority placement;
Promotion through social media or email;
Inclusion in recommendations;
A particular number of views or visitors;
Ticket sales;
Increased attendance;
Revenue or other business results; or
Acceptance into a founding-partner program.
OUT Local may decline, delay, edit, archive, restrict, or remove a venue listing or Submitted Content at its discretion, subject to applicable law.
14. No Fee for Standard Claims
Unless otherwise disclosed, OUT Local does not charge a fee to submit a standard venue claim or request a basic venue listing.
Paid advertising, sponsored listings, featured placement, promotional campaigns, subscriptions, or other commercial services will be governed by separate written terms.
Accepting these authorization terms does not require the venue to purchase advertising or promotional services.
15. No Compensation or Royalties
Unless OUT Local agrees otherwise in a separate written agreement, neither you nor the venue will receive compensation, royalties, license fees, or other payment for OUT Local’s permitted use of Submitted Content.
The venue remains free to use, license, or authorize its content elsewhere.
The license granted to OUT Local is non-exclusive.
16. Removal and Withdrawal Requests
You or another authorized venue representative may request that OUT Local:
Correct venue information;
Remove a specific photograph or video;
Replace outdated material;
Remove access granted to a venue representative;
Withdraw the venue’s claimed status; or
Review removal of the venue listing.
Requests may be submitted to hello@outlocal.com or through the Manage Your Data page.
OUT Local may require verification that the requester is authorized to act on behalf of the venue or owns the content involved.
After confirming a valid request, OUT Local will make reasonable efforts to stop future use of the applicable Submitted Content within a reasonable processing period.
A withdrawal request may not require OUT Local to:
Recall emails already delivered;
Recall or destroy printed materials already distributed;
Remove archived legal or security records;
Alter completed presentations or reports;
Remove content from temporary backups before the normal deletion cycle; or
Control copies independently shared or stored by third parties.
Content may also remain available when OUT Local has another lawful source or independent authorization to use it.
17. Copyright, Trademark, and Other Rights Complaints
Copyright complaints should be submitted according to OUT Local’s Copyright & DMCA Policy.
Concerns involving trademarks, false affiliation, privacy, publicity rights, impersonation, unauthorized profile claims, or inaccurate information may be submitted to:
Include the specific listing or content involved, an explanation of the concern, and information confirming your relationship to the venue or rights holder.
18. Your Representations
By submitting content, you represent and confirm that:
You have authority to accept these terms;
You have authority to act for the venue;
The information you provide is accurate to the best of your knowledge;
The venue owns or has sufficient permission to provide the Submitted Content;
OUT Local’s use of the Submitted Content as described will not knowingly violate another person’s copyright, trademark, privacy, publicity, contractual, or other rights;
You have obtained necessary permission from relevant performers, photographers, designers, and identifiable individuals;
The content does not contain unlawful, defamatory, deceptive, or malicious material;
The submission complies with OUT Local’s Terms of Use and Community Guidelines; and
You will notify OUT Local if you discover that any of these statements are no longer accurate.
19. Responsibility for Claims
You and the venue are responsible for the information and content submitted through your claim.
To the fullest extent permitted by law, you agree to reimburse and protect OUT Local, its owner, contractors, service providers, employees, and representatives from third-party claims, losses, liabilities, costs, or reasonable legal fees arising from:
A material breach of these terms;
A false claim of authority;
Submitted Content that infringes another person’s rights;
Missing permissions from a photographer, performer, designer, or other rights holder;
Materially false or misleading venue or event information; or
Unlawful content submitted by you.
This obligation does not apply to a claim caused solely by OUT Local’s use of content outside the authorization granted by these terms.
20. No Partnership, Agency, or Endorsement
A venue listing or approved claim does not, by itself, create:
A legal partnership;
A joint venture;
An employment relationship;
An agency relationship;
A franchise;
An exclusive relationship;
An ownership interest;
A sponsorship; or
A formal endorsement.
Neither party may enter into agreements or make legal commitments on behalf of the other without separate written authorization.
A venue identified as a founding partner, advertiser, sponsor, or promotional partner may be subject to a separate written agreement.
21. Term and Continuing Provisions
These terms apply beginning when you submit a venue claim or Submitted Content.
The authorization continues until the applicable content is removed, the authorization is withdrawn, or OUT Local no longer needs the content for the authorized purposes.
Sections concerning ownership, previously authorized use, representations, responsibility for claims, dispute resolution, and completed or archived materials may continue after withdrawal where reasonably necessary.
22. Relationship to Other OUT Local Terms
Your use of OUT Local is also governed by our:
Terms of Use;
Privacy Policy;
Community Guidelines;
Copyright & DMCA Policy; and
Any separate advertising, sponsorship, subscription, or partner agreement that applies.
If these terms conflict with OUT Local’s general Terms of Use regarding a venue submission, these more specific Venue Listing & Content Authorization Terms will govern that submission.
23. Changes to These Terms
OUT Local may update these terms to reflect changes to its services, submission processes, content practices, or legal obligations.
The revised terms will display an updated date.
Material changes will apply prospectively unless additional notice or consent is required.
24. Governing Law
These terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Any dispute that may be brought in court will be subject to the jurisdiction described in OUT Local’s Terms of Use.
25. Electronic Agreement
Selecting an agreement checkbox, submitting a venue claim, uploading Submitted Content, or otherwise electronically indicating agreement constitutes your acceptance of these terms.
You should save a copy of these terms for your records.
OUT Local may maintain records showing the date, time, email address, form response, and version of the terms associated with a submission.
