Terms of Use
These Terms of Use govern your access to and use of the OUT Local website, mobile application, profiles, listings, forms, communications, and related services collectively referred to as the “Service.”
These Terms form a legally binding agreement between you and Austin Randall, doing business as OUT Local™ (“OUT,” “OUT Local”, “we,” “us,” or “our”).
By visiting, accessing, creating an account on, submitting information to, or otherwise using the Service, you agree to these Terms and acknowledge that you have reviewed our Privacy Policy. If you do not agree to these Terms, do not use the Service.
1. About OUT Local
OUT Local is a discovery platform designed to help users find LGBTQ+ events, performers, venues, businesses, organizations, and community spaces.
OUT Local may provide event information, venue listings, performer profiles, maps, links, recommendations, promotional content, saved items, social features, and other discovery tools.
Unless expressly stated otherwise, OUT Local does not own, operate, organize, produce, manage, or control the venues, events, performers, ticketing services, businesses, or organizations displayed through the Service.
The appearance of a person, performer, venue, organization, event, trademark, photograph, or other listing on OUT Local does not by itself indicate a sponsorship, endorsement, affiliation, partnership, or other formal relationship with OUT Local.
2. Eligibility and Age Requirements
You must be at least 13 years old to use the Service.
If you are under 18, you may use the Service only with the permission and supervision of a parent or legal guardian. By permitting a minor to use the Service, the parent or guardian accepts responsibility for the minor’s use of the Service.
You must be at least 18 years old to:
Claim or manage a venue, performer, business, or organization profile;
Submit content on behalf of another person or organization;
Enter into a paid advertising, promotional, or partnership arrangement;
Purchase an age-restricted product or service through a third party; or
Access any feature expressly designated for adults.
Some venues and events may impose their own age requirements. You are responsible for reviewing and complying with those requirements.
3. Accounts
Certain features may require you to create an account.
You agree to provide information that is accurate, current, and complete and to update that information when necessary. You may not create an account using false information, impersonate another person, or create an account for another person without authorization.
You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account. Notify us promptly at hello@outlocal.com if you believe your account has been accessed without authorization.
We may reject, suspend, restrict, or terminate an account when we reasonably believe that:
Information associated with the account is false or misleading;
The account is being used without authorization;
These Terms or our Community Guidelines have been violated;
The account presents a security, legal, or safety risk; or
Suspension or termination is reasonably necessary to protect OUT Local, our users, or another person.
4. Listings and Discovery Information
OUT Local may display information regarding events, performers, venues, organizations, businesses, and community resources.
Listing information may be supplied by venue representatives, performers, promoters, users, public sources, third-party websites, ticketing services, or other sources.
Although we work to provide useful and accurate information, we do not guarantee that any listing is complete, current, available, or error-free. Dates, times, locations, admission prices, ticket availability, age restrictions, accessibility information, performer lineups, venue hours, and other details may change without notice.
Before attending an event, making travel plans, or purchasing a ticket, you should confirm important information directly with the venue, organizer, performer, or authorized ticket provider.
OUT Local may edit, reformat, organize, correct, decline, archive, or remove a listing at any time. Inclusion on OUT Local is not guaranteed.
5. Venue and Performer Claims
A person claiming or managing a venue, performer, organization, or business profile must be authorized to do so.
By submitting a claim, you represent that:
You are the person identified in the claim or are authorized to act on their behalf;
The information you provide is accurate to the best of your knowledge;
You have authority to approve the submitted listing information and materials; and
Your submission does not violate another person’s intellectual-property, privacy, publicity, contractual, or other rights.
Venue claims are also governed by our Venue Listing & Content Authorization Terms.
Performer claims are also governed by our Performer Listing & Content Authorization Terms.
If these Terms conflict with the specific authorization terms applicable to a submission, the more specific authorization terms will govern that submission.
We may request additional information to verify a claim. Submission does not guarantee verification, approval, featured placement, publication, access, or partnership status.
6. Event Submissions
Anyone submitting an event represents that they are authorized to provide the event information and related materials.
You are responsible for ensuring that submitted event details are accurate, including:
Event name and description;
Date and time;
Venue and location;
Ticket price and ticketing link;
Age requirements;
Accessibility information;
Performer lineup;
Promotional artwork; and
Cancellation, postponement, or schedule changes.
You must notify OUT Local promptly if material event information changes.
Submitting an event does not guarantee that it will be published, promoted, featured, or retained on the Service.
Event submissions may also be governed by separate Event Submission & Content Authorization Terms.
7. User Content
“User Content” means information or materials submitted, uploaded, posted, transmitted, or otherwise provided through the Service, including photographs, videos, logos, artwork, biographies, descriptions, reviews, messages, event information, profile information, corrections, and links.
You retain any ownership rights you have in your User Content.
By providing User Content to OUT Local, you grant OUT Local a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, publish, distribute, format, resize, crop, caption, adapt, and otherwise use that content as reasonably necessary to:
Operate and improve the Service;
Create and maintain listings and profiles;
Display submitted events;
Communicate with users;
Promote OUT Local and content available through OUT Local; and
Provide related website, app, email, social-media, presentation, advertising, and launch materials.
This license permits OUT Local to use service providers and contractors when reasonably necessary to operate or promote the Service.
You represent that you own your User Content or have all permissions necessary to provide it and grant the rights described in these Terms.
You are responsible for obtaining necessary permission from photographers, videographers, designers, copyright owners, performers, venues, event producers, trademark owners, and identifiable individuals appearing in submitted materials.
You may request removal of User Content by contacting hello@outlocal.com. Removal requests will apply to future use after a reasonable processing period. We may retain copies when reasonably necessary for legal compliance, security, recordkeeping, backups, dispute resolution, or materials already produced or distributed.
8. Prohibited Content and Conduct
You may not use the Service to:
Violate any applicable law or regulation;
Harass, threaten, stalk, intimidate, exploit, or abuse another person;
Promote hatred, violence, or discrimination;
Reveal another person’s private information, sexual orientation, gender identity, location, or other sensitive information without authorization;
Impersonate another person, performer, venue, business, or organization;
Submit false, deceptive, misleading, or fraudulent information;
Publish an event or profile without proper authorization;
Upload content that infringes copyright, trademark, privacy, publicity, contractual, or other rights;
Upload intimate, exploitative, or nonconsensual imagery;
Submit malware, harmful code, spam, or unauthorized advertising;
Interfere with the operation or security of the Service;
Attempt to gain unauthorized access to another account or system;
Scrape, harvest, copy, or collect Service data through automated means without written permission;
Reverse engineer, decompile, or attempt to discover the source code of the Service except where expressly permitted by law;
Circumvent access restrictions or security measures;
Use OUT Local’s name, branding, content, or data to create a competing directory or service without authorization; or
Encourage another person to engage in prohibited activity.
Additional conduct rules may appear in our Community Guidelines.
9. Moderation and Reporting
We may review, restrict, edit, reject, remove, or disable access to content that we reasonably believe violates these Terms, our Community Guidelines, applicable law, or another person’s rights.
We are not obligated to monitor every submission or communication before it appears.
Users may report inaccurate, objectionable, unsafe, unauthorized, or potentially infringing content by contacting hello@outlocal.com or by using any reporting tools made available through the Service.
We may investigate reports and take action we consider appropriate, including removing content, limiting visibility, suspending accounts, preserving records, or contacting appropriate authorities when legally required or reasonably necessary to address a credible safety concern.
10. Intellectual Property
The Service and its original software, interface, design, branding, selection, arrangement, text, graphics, icons, and other materials are owned by OUT Local or licensed to OUT Local and are protected by applicable intellectual-property laws.
OUT Local™ and associated logos, designs, slogans, and branding may not be used in a way that suggests endorsement, affiliation, or sponsorship without prior written permission.
These Terms do not transfer ownership of OUT Local’s intellectual property to you.
You may use the Service for personal, lawful, noncommercial purposes. You may not reproduce, distribute, sell, license, publicly display, modify, or commercially exploit OUT Local-owned material without written permission, except as permitted by law.
Third-party names, logos, photographs, artwork, and trademarks remain the property of their respective owners.
11. Copyright Complaints
We respect intellectual-property rights.
If you believe content available through OUT Local infringes your copyright, follow the process described in our Copyright and DMCA Policy or contact us at hello@outlocal.com.
A copyright complaint should identify the protected work, the allegedly infringing material, its location on the Service, your contact information, and a statement explaining your authority and good-faith belief that the use is unauthorized.
Submitting a knowingly false copyright complaint may have legal consequences.
If OUT Local allows users to store or post material at scale, obtaining certain DMCA safe-harbor protections generally requires publicly posting a designated agent’s information, registering that agent with the Copyright Office, and following applicable notice-and-takedown requirements.
12. Third-Party Services and Ticketing
The Service may contain links to third-party websites, maps, social-media platforms, payment providers, ticket sellers, venues, businesses, and other services.
These services are not controlled by OUT Local, and their own terms, privacy practices, fees, refund policies, accessibility practices, and rules apply.
Unless OUT Local expressly identifies itself as the seller, OUT Local is not the seller or issuer of tickets displayed through the Service. Questions regarding a purchase, cancellation, refund, transfer, charge, event postponement, or ticket validity should be directed to the applicable seller, organizer, or venue.
OUT Local is not responsible for the availability, accuracy, security, content, products, services, acts, or omissions of a third party.
A link does not necessarily represent an endorsement or partnership.
13. Safety and Event Participation
Your decision to visit a venue, attend an event, interact with another person, or follow a recommendation is made at your own discretion.
OUT Local does not guarantee:
The safety, legality, accessibility, quality, or suitability of a venue or event;
The identity, conduct, qualifications, or reliability of a user, performer, organizer, or venue representative;
Admission to an event;
Ticket validity or availability;
The presence of a listed performer;
Compliance by a venue or organizer with applicable laws; or
That a listing or recommendation will meet your personal needs.
Follow applicable laws, venue policies, safety instructions, and age requirements. Contact emergency services when immediate assistance is needed.
14. Privacy
Our collection and use of personal information are described in our Privacy Policy, available at:

The Privacy Policy is incorporated into these Terms by reference.
You are responsible for reviewing the policy before submitting personal information, location information, photographs, or other materials.
Apple requires an accessible privacy policy that explains data collection, use, sharing, retention, deletion, and consent withdrawal.
15. Communications
By providing an email address or phone number, you agree that we may send communications reasonably related to your account, submissions, verification requests, security, updates, and the operation of the Service.
Marketing messages will be sent only as permitted by applicable law and your communication preferences.
You may unsubscribe from marketing emails using the unsubscribe link included in those messages. You may still receive essential account, safety, legal, or transactional communications.
16. Changes to the Service
We may add, modify, suspend, restrict, or discontinue any part of the Service.
Features shown in prototypes, previews, presentations, beta versions, or promotional materials may change and are not guaranteed to launch.
We are not liable for modifications, interruptions, loss of access, or discontinuation, except where liability cannot legally be excluded.
17. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
OUT LOCAL DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, COMPLETE, OR FREE OF HARMFUL COMPONENTS, OR THAT LISTINGS, EVENTS, PROFILES, RECOMMENDATIONS, OR THIRD-PARTY SERVICES WILL BE ACCURATE OR AVAILABLE.
Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent permitted by law.
18. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, OUT LOCAL AND ITS OWNER, AFFILIATES, CONTRACTORS, SERVICE PROVIDERS, LICENSORS, EMPLOYEES, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OPPORTUNITIES, OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO THE SERVICE.
This includes losses connected to:
Reliance on inaccurate or outdated information;
Event changes or cancellations;
Ticket purchases or third-party transactions;
Conduct occurring at a venue or event;
Unauthorized account access;
Loss or removal of content;
Interactions with another user or third party; or
Inability to access the Service.
To the fullest extent permitted by law, OUT Local’s total liability for claims arising from or related to the Service will not exceed the greater of:
The amount you paid directly to OUT Local during the six months before the event giving rise to the claim; or
One hundred U.S. dollars.
Nothing in these Terms excludes liability that cannot legally be excluded or limited.
19. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless OUT Local, its owner, affiliates, contractors, service providers, licensors, employees, and representatives from claims, damages, liabilities, losses, judgments, penalties, costs, and reasonable legal fees arising from or related to:
Your use or misuse of the Service;
Your User Content;
Your violation of these Terms;
Your violation of another person’s rights;
Your event, venue, performer, or business submission;
Your lack of authority to submit content or manage a profile; or
Your violation of applicable law.
We may assume control of the defense of a claim covered by this section. You agree to cooperate reasonably with that defense.
20. Termination
You may stop using the Service at any time.
You may request account deletion through the account settings, if available, or by contacting hello@outlocal.com.
We may suspend or terminate access when reasonably necessary to:
Enforce these Terms;
Protect the Service or another person;
Investigate suspected misconduct;
Comply with law or legal process; or
Address security, fraud, or operational concerns.
Provisions that by their nature should continue after termination will survive, including provisions relating to intellectual property, content licenses, disclaimers, liability, indemnification, disputes, and general legal terms.
21. Governing Law and Venue
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise.
To the extent a dispute may be brought in court, you and OUT Local agree to the jurisdiction of the state and federal courts located in Fulton County, Georgia, except where applicable law does not permit that choice.
Nothing in these Terms prevents either party from seeking appropriate temporary or emergency relief when necessary to protect intellectual property, confidential information, safety, or system security.
22. Changes to These Terms
We may update these Terms to reflect changes in the Service, our practices, or applicable requirements.
When changes are made, we will update the “Last updated” date. For material changes, we may provide additional notice through the Service or by email.
Your continued use of the Service after updated Terms take effect constitutes acceptance of the updated Terms, to the extent permitted by law.
23. General Provisions
Entire agreement. These Terms, the Privacy Policy, Community Guidelines, applicable content-authorization terms, and any additional terms presented for a specific feature constitute the agreement between you and OUT Local regarding the Service.
Severability. If a provision is found unenforceable, it will be modified only to the extent necessary or removed, and the remaining provisions will remain effective.
No waiver. Failure to enforce a provision does not waive our right to enforce it later.
Assignment. You may not assign your rights or obligations under these Terms without our written permission. OUT Local may assign these Terms as part of a merger, acquisition, restructuring, sale of assets, or transfer of the Service, subject to applicable law.
No agency. These Terms do not create an employment, partnership, joint venture, franchise, fiduciary, or agency relationship between you and OUT Local
Headings. Section headings are provided for convenience and do not affect interpretation.
Electronic agreement. Your electronic acceptance, submission, or continued use may have the same effect as a written agreement or signature where permitted by law.
